1. Scope of Services
Soundspace will provide the services outlined in the signed Booking Order, including in-store radio broadcasting, advert production, music scheduling, and technical support.
2. Duration & Termination
This agreement is valid for an initial term of 24 months from the start date indicated in the Booking Order. After this period, it will continue on a rolling monthly basis unless terminated by either party with 30 days’ written notice. No refunds will be issued for services already rendered.
3. Payment Terms
Invoices will be issued monthly. Payment is due within 30 days of the invoice date. Late payments may result in service suspension.
4. Hardware Ownership
Any in-store radio players purchased by the client are the property of the client. Soundspace provides setup and support but retains no ownership or responsibility for hardware once delivered.
5. Audio Content & Usage Rights
All audio content, including custom adverts and branded announcements, is produced for the client’s exclusive use.
- The client has full usage rights for custom adverts produced by Soundspace, strictly for in-store use.
- These adverts may not be used for radio, TV, online, or other platforms without prior written consent from Soundspace.
- Soundspace retains the right to showcase produced content in its portfolio or promotional materials unless the client requests otherwise in writing.
- Music scheduling and playlists remain fully managed and owned by Soundspace.
6. Music Licensing Responsibility
Soundspace provides audio content for in-store use only and does not include any public performance or music licensing rights. It is the client’s sole responsibility to obtain and maintain all necessary licenses (such as PRS or equivalent) required for the public performance of music within their premises. Soundspace is not liable for any licensing obligations or fees related to the use of music content.
7. Confidentiality
Both parties agree to keep confidential any commercially sensitive information shared during the course of this agreement.
8. Liability
Soundspace shall not be liable for any indirect, incidental, or consequential damages. Total liability is limited to the value of the monthly service fee.
9. Support
Soundspace provides 24/7 technical support via email and phone. All reasonable efforts will be made to resolve any service interruptions or technical issues in a timely manner.
10. New Store Licenses
If the client adds new store locations during the agreement period, these will be billed at the per-store rate defined in the Booking Order.
11. Governing Law
This agreement is governed by and interpreted under the laws of Malta.
